Summary of the Executive Board Working Group Report on IMF Corporate Governance (July 31, 2008)
I. Introduction
On May 21, 2008, the Executive Board of the IMF discussed the Independent Evaluation Office (IEO) report on "Aspects of IMF Corporate Governance – Including the Role of the Executive Board." The report highlighted the complexity and interrelated nature of the IEO's recommendations, emphasizing the need for a coordinated and multi-level response. As the first step, the Dean of the Executive Board established a Working Group tasked with reviewing the IEO's recommendations and suggesting a follow-up strategy. II. IEO Recommendations and Proposed Follow-Up
The Working Group identified four distinct work streams to address the IEO recommendations:
A. Recommendations to be discussed at a Board meeting and communicated to Governors and IMFC members
- Recommendations 66, 67, 68, 69, 74, 76
- These recommendations concern the activation of the Council, clarification of roles between the Board and Management, and the election and terms of service of Executive Directors.
- The Board is to hold a meeting to provide input for a communication to Governors, and the Managing Director will send a letter to the IMFC Chairman, with a copy to the Board of Governors Chairman.
- A draft letter is to be agreed upon by the Board by Fall 2008.
B. Recommendations to be addressed at the next Board retreat
- Recommendations 71, 72, 73
- These focus on improving the Board's effectiveness, reducing direct involvement in day-to-day operations, and allowing more time for consultation and background work.
- The retreat is scheduled for December 2008.
C. Recommendations to be submitted for further work to existing Board Committees and Working Groups
- Recommendations 70/83, 75, 78a, 78b, 79, 80, 81, 82, 85a, 86a, 86c
- Recommendation 70/83: A Working Group on the Managing Director’s Performance Evaluation will be tasked with implementing an accountability framework for Management and extending its mandate to include Board self-evaluation.
- Recommendation 75: The Committee on Executive Board Administrative Matters (CAM) will examine how to improve the skill mix and effectiveness of Board members.
- Recommendation 78a/b: The Board will adopt the World Bank's practice of involving the Board in the selection of the General Counsel and Secretary of the Board.
- Recommendation 79: The Working Group will consider the possibility of a regular self-evaluation process for the Board.
- Recommendation 80: The Agenda and Procedures Committee (APC) will review the clarity and transparency of summings-up.
- Recommendation 81: The Ethics Committee will strengthen the ethical oversight system, including training and whistleblower protection.
- Recommendation 82: The next Review of Transparency Policy in 2009 will include an expansion of the scope to cover archives and disclosure policies.
- Recommendation 85a: The Board will ask the Managing Director to consider improving the accountability and effectiveness of Deputy Managing Directors (DMDs).
- Recommendation 86a: The Code of Conduct will be aligned with the Managing Director’s contract, and the integrity hotline will be used for complaints against the MD.
D. Recommendations to be further assessed by new Board Working Groups
- Recommendations 77, 78c, 84, 85
- Recommendation 77: A new working group will be established to strengthen the Board’s committee structure, including creating HR and audit committees, and ensuring that all committees are chaired by Executive Directors.
- Recommendation 78c: A new working group will be formed to consider the formal role of the Board in the selection, performance assessment, and dismissal of the General Counsel and Secretary.
- Recommendation 84: A new working group will assess the reform of the Managing Director’s selection process, in coordination with the World Bank.
- Recommendation 85: A new working group will review the DMD selection process and responsibilities.
III. Other Issues and Monitoring
- The Working Group received additional suggestions from Executive Directors and senior staff on governance improvements not covered in the IEO report, but these were not included in the work plan due to the group’s limited mandate.
- The Working Group proposes to present a Monitoring Report to the Executive Board in about one year to assess the status and progress of implementation across work streams.
IV. Recommendations Summary
The Working Group recommends the following actions:
- Approve the work plan outlined in Table 1.
- Establish a monitoring process to track implementation and progress.
- Hold a Board meeting to discuss key IEO recommendations and prepare communication to Governors and IMFC members.
- Implement the integrity hotline for complaints against the Managing Director and align it with the procedures for Board members.
- Expand the mandate of the Dean's Working Group to include Board self-evaluation.
- Review and update the Code of Conduct and transparency policies.
- Reform the selection and performance evaluation of Deputy Managing Directors and the Managing Director.
- Form new working groups to assess the committee structure, the selection of the General Counsel and Secretary, and the selection process for the Managing Director.
