WHO Confidentiality Undertaking Summary

• Purpose: The agreement outlines WHO's access to proprietary information through its department, and the Undersigned's obligation to keep it confidential for fulfilling responsibilities in the Advisory Process.
• Key Obligations: The Undersigned must treat the information as confidential and proprietary, disclose it only to those with a need and bound by similar obligations, and ensure it is not used or copied outside the purposes specified.
• Exceptions to Confidentiality: The obligation does not apply if the information was known beforehand, was publicly available at disclosure, became public due to no fault of the Undersigned, or was obtained from a non-breaching third party.
• Additional Provisions: The Undersigned cannot communicate discussions or decisions of the Advisory Process to third parties without WHO consent; must return all information copies if requested; and these obligations continue after advisory membership ends.
• Dispute Resolution: Any disputes are resolved through conciliation, and if unsuccessful, by arbitration in accordance with UNCITRAL rules or agreed modalities, with the award being final.
